You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Site and its Content solely for your personal, non-commercial use in connection with using our Services. This license does not include any right to:

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WING SNOB, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY:

• LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES;
• DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA;
• DAMAGES ARISING FROM ANY THIRD-PARTY CONDUCT OR CONTENT ON THE SITE;
• DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SITE OR SERVICES;

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF WING SNOB HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL WING SNOB'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE AND SERVICES EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO WING SNOB IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00 USD).

The limitations set forth in this section shall apply regardless of the form of action, whether arising in contract, tort, strict liability, or otherwise, and shall survive and apply even if any limited remedy specified in these Terms is found to have failed of its essential purpose.

Some states and jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages. In those states or jurisdictions, our liability is limited to the maximum extent permitted by applicable law.

9. Indemnification

You agree to defend, indemnify, and hold harmless Wing Snob and its officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

12. Food Allergen and Safety Notice

13. Governing Law and Jurisdiction

These Terms of Service and any disputes arising out of or related to these Terms or your use of the Site and Services shall be governed by and construed in accordance with the laws of the United States of America and the laws of the state in which Wing Snob is registered and operates, without regard to its conflict of law provisions.

You agree that any legal action or proceeding relating to these Terms or your use of the Site that is not subject to arbitration (as described below) shall be brought exclusively in the federal or state courts of competent jurisdiction located in the United States, and you hereby irrevocably submit to the personal jurisdiction of such courts and waive any objection to the laying of venue of any such action or proceeding.

These Terms shall be interpreted and enforced in accordance with applicable federal laws of the United States, including but not limited to the Federal Trade Commission Act (15 U.S.C. § 41 et seq.), the Electronic Communications Privacy Act, the Computer Fraud and Abuse Act, and applicable state consumer protection statutes. Nothing in these Terms shall limit Wing Snob's rights under applicable consumer protection and food safety laws.

14. Dispute Resolution and Arbitration

14.1 Informal Resolution

Before initiating any formal legal proceeding, you agree to first contact Wing Snob and attempt to resolve any dispute informally by sending a written notice of your dispute to [email protected]. We will attempt to resolve the dispute informally within thirty (30) days of receiving your notice. If the dispute is not resolved within that period, either party may proceed as described below.

14.2 Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

Except for disputes that qualify for small claims court and except as otherwise provided herein, you and Wing Snob agree that any dispute, claim, or controversy arising out of or relating to these Terms, your use of the Site or Services, or any food or service provided by Wing Snob shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court.

The arbitration shall be conducted in English, and any arbitration award may be entered as a judgment in any court of competent jurisdiction. The arbitrator shall apply substantive law consistent with the Federal Arbitration Act (9 U.S.C. § 1 et seq.) and applicable statutes of limitations. The arbitrator may award any remedies available under applicable law.

14.3 Class Action Waiver

YOU AND WING SNOB AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Unless both you and Wing Snob agree otherwise, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of class or representative proceeding.

14.4 Exceptions to Arbitration

Notwithstanding the arbitration agreement above, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights, confidential information, or other proprietary rights. Nothing in this section shall prevent Wing Snob from seeking emergency injunctive relief from a court to prevent irreparable harm pending arbitration.

15. Term and Termination

These Terms of Service are effective as of the date you first access or use our Site and shall remain in full force and effect for as long as you continue to access or use our Services, unless terminated earlier as provided herein.

Wing Snob reserves the right, in its sole discretion, to:

• Terminate or suspend your access to the Site and Services at any time, with or without cause, and with or without notice.

• Refuse service to any person for any reason not prohibited by applicable law.

Sections of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, disclaimers, limitations of liability, indemnification obligations, and dispute resolution provisions.

The invalidity, illegality, or unenforceability of any provision shall not affect the validity, legality, or enforceability of any other provision of these Terms, and the remaining provisions shall continue in full force and effect as if the invalid, illegal, or unenforceable provision had never been included.

The parties acknowledge and agree that the Terms would have been entered into even without any provision found to be invalid, illegal, or unenforceable, reflecting the parties' mutual intent that these Terms shall be construed and enforced as a whole to the greatest extent possible.

19. Entire Agreement and Waiver

These Terms of Service, together with our Privacy Policy and any other agreements or policies incorporated by reference herein, constitute the entire agreement between you and Wing Snob with respect to the subject matter hereof and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to such subject matter.

No waiver by Wing Snob of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure by Wing Snob to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

Any waiver of these Terms must be in writing and signed by an authorized representative of Wing Snob to be effective. No oral waiver shall be binding on Wing Snob.

20. Force Majeure

Wing Snob shall not be liable for any failure or delay in performing its obligations under these Terms to the extent that such failure or delay is caused by circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, epidemics or pandemics, government actions or restrictions, power outages, internet service disruptions, labor disputes, supply chain disruptions, or other events of force majeure.

In the event of a force majeure situation, we will use commercially reasonable efforts to notify affected customers and resume normal operations as soon as practicable.

21. Assignment

You may not assign or transfer your rights or obligations under these Terms without the prior written consent of Wing Snob. Any purported assignment in violation of this provision shall be null and void. Wing Snob may freely assign or transfer these Terms and its rights and obligations hereunder, including in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets, without restriction and without notice to you.
